Terms & Conditions of Supply for Business Customers

The below mentioned Terms & Conditions are applicable to purchases made to SNZTECH.COM by Business Customers. For Consumers, please see our Consumer Terms & Conditions.

Once you register with SNZTECH.COM as a business customer, the Terms and Conditions of Sale (‘Terms’) specified in this document will be applicable on all transactions between SNZTECH.COM and yourself. When you make use of our website SNZTECH.COM and submit any Orders, you agree you have read, are bound by and will comply with these Terms and that these Terms will supersede any previously used Terms of supply between you and SNZTECH.COM.

This document along with SNZTECH.COM’s Returns Policy and other SNZTECH.COM Company Policies indicated on this page are SNZTECH.COM’s Terms and Conditions (‘Terms’) based on which SNZTECH.COM will supply all products (‘Products’) given on the SNZTECH.COM website and its associated pages (‘our website’). All SNZTECH.COM consumer customers are encouraged to carefully read the below Terms prior to placing an order with SNZTECH.COM and print a copy for your future reference. By placing an order with SNZTECH.COM you agree to be bound by the below Terms.

In case you do not agree with any of these Terms, please do not place your order with SNZTECH.COM for any products/services. Your agreement to these Terms will be considered to be confirmed once you click on the ‘Pay Now’ button on our website.

Person: Indicates a natural person, a corporate/unincorporated body with or without a distinct legal identity.

Party: Refers to particular representatives, beneficiaries or allowed person/s.

Statute or statutory provision: Indicates amended or re-enacted statutes and provisions, including any subordinate legislation made thereunder.

Any Terms beginning with words like ‘include’, ‘including’ or similar verbiage will be considered as illustrative and shall not limit the sense of the preceding words.

Writing/Written: Refers to faxes and emails.

Working Day: A day which is not a weekend/bank/public holiday in the USA.

Purchase Policy

  1. By placing a Product on our website, we invite offers for the said Product and this cannot be deemed a binding compulsion for SNZTECH.COM to sell at the listed price, regardless of whether an Order has been acknowledged or a payment has been completed.
  2. Once you place an order with SNZTECH.COM it will imply that you are making an offer to buy the Products as per these Terms.
  3. Upon being approved and a Trade Account has been setup with you, you must ensure that when sending us any Order the Order terms and details are accurate and complete. Once we have processed the Order, you will receive an Order Acknowledgement email and you must let us know in case of any errors in processing with 1 business day of the Order Acknowledgement email receipt. Failing which, no changes can be made to the Order processing and SNZTECH.COM shall not be liable for the consequences.
  4. Please note that an order Acknowledgement email does not imply that the Order has been accepted.
  5. You will receive a Payment Confirmation email from us indicating the order has been accepted, the payment has been successfully charged and the expected delivery dates and tracking information. This Contract between you and SNZTECH.COM will come into effect immediately at this stage.
  6. The Contract will be for only those Products which are included in the Payment Confirmation email. SNZTECH.COM shall not be liable to supply any other Products unless via a separate order and Payment Confirmation.
  7. All Orders are subject to stock. In case we do not have stock, we will intimate you as soon as possible. You have the right to cancel the Order if you wish at this point or order an alternative item. A full refund will be issued to you in case you wish to cancel the Order. In case you choose an alternative, these Terms will be applicable on that Order and in case there is any difference in the prices, either SNZTECH.COM shall refund you the excess payment made or you will be liable to pay the underpayment amount for the higher priced alternative.
  8. In case the price of a Product is listed incorrectly on our website due to an error, SNZTECH.COM shall notify you within 14 days via email or phone of the Payment Confirmation and you shall have the option to either cancel the Order and get a refund or pay the underpayment amount and have your Order processed.
  9. You agree that Grade A and Ex Stock listed products on our website have a 90 days warranty and Grade B/Used Stock Products have a 30 days warranty. These Products may have slight cosmetic defects, be factory refurbished or might have been returned after purchase as unwanted items.

Delivery Policy

  1. The ordered Products shall be delivered to the delivery address specified in the Order.
  2. All dates quoted for delivery are estimates only, and the times of delivery are not of the essence. In case of Force Majeure occurrences, SNZTECH.COM shall not be liable for shipping delays. SNZTECH.COM shall not be liable for incorrect delivery instructions provided to us at the time of placing your Order which make the delivery location unavailable to us.
  3. All Risk in the Products is passed to you once you receive the Product and sign for it. SNZTECH.COM shall accept no liability for any damages/losses to the Product thereafter.
  4. You shall be responsible for checking your Product upon delivery. In case the Products do not look in satisfactory condition, please do not accept the delivery. In case you cannot check the condition, please sign ‘’Unchecked’’ with the courier. This will ensure you will be able to claim warranty afterwards.
  5. In case we are unable to fulfil your Order by the requested date, we will intimate you as soon as possible after the Payment Confirmation. You may choose to accept an alternative date or period. SNZTECH.COM will not be liable for any damages/losses due to this delay in delivery.
  6. In case you do not take delivery for your ordered products, then without prejudice to any other rights and remedies entitled to us, we may keep your Products in storage until they are delivered and charge you for all related expenses (including insurance). After 21 days have elapsed, SNZTECH.COM reserves the right to resell the Products or dispose of them altogether after charging you for the storage and selling costs (including without limitation the insurance) for any excess over price of the Products or any shortfall below the Products price.
  7. The quantity of products recorded by SNZTECH.COM at the time of order dispatch shall be considered final evidence of the quantity of products received by you, unless you can share solid evidence to the contrary.
  8. In case of non-delivery of your Order, you are responsible for informing us within 2 working days of the expected delivery date, otherwise SNZTECH.COM will not be liable.
  9. SNZTECH.COM’s liability for non-delivered Products shall be limited to replacement of the Products within a reasonable timeframe or issuing a credit note
  10. Our liability for non-delivery of the Products shall be limited to replacing the Products within a reasonable time or issuing a credit note (valid for up to 2 years from date of issue) against the Order Invoice.

Title and Risk

  1. The Risk in the Products will be passed to you.
  2. The Title to the Products will not pass to you until one of the following: SNZTECH.COM has received the full payment for the ordered items and all outstanding invoices owed by you, or when you receive the delivery of the order.
  3. Until the time that the title to the Products has passed on to you, you are obligated to:
  4. hold the Products on a fiduciary basis as our Bailee
  5. store the Products separately from your possessions so that our Products are identifiable as our property
  6. not remove, deface or obscure any identifying markings on the Product packaging or related to the Products
  7. Keep the Products in good condition and keep them insured against all risks for the full price from the date the risk passes to you.
  8. Provide SNZTECH.COM with information related to the Products
  9. You have the right to resell or use the Product

Faulty Products, Returns and Warranty

  1. SNZTECH.COM will transfer to you the benefits of all Product Warranties/Guarantees provided by the manufacturers.
  2. SNZTECH.COM warrants on delivery and for a period of 28 days from the delivery date (warranty period) the Products will:
  3. Conform to their description
  4. Be in good condition
  5. Be fit for the purpose confirmed by us that it can be used for
  6. After the 28 days period, the manufacturer warranty will come into effect. Manufacturer Warranties vary from product to product.
  7. For faulty items, please send notice to SNZTECH.COM within 48 hours of the delivery
  8. SNZTECH.COM will inspect the items. You will need to allow SNZTECH.COM to collect the items or arrange for the Products to be returned to us using a carrier.
  9. SNZTECH.COM shall, at its option repair, replace or refund the defective items in full.
  10. SNZTECH.COM shall not be liable for Products Warranties if you or your client continue to use the faulty Product even after notifying us, or in case the Product failure has occurred due to a failure on your part to follow the Product instructions.
  11. SNZTECH.COM shall not be liable for Product Warranties if you or your customer attempt to alter or repair the Product, or if the Product has developed faults due to regular wear and tear, intentional damage, neglect or abnormal storage/working conditions
  12. All Grade A, Grade B and Ex Display Products are clearly marked so on our website. As there is no manufacturer warranty, the Grade A and Ex-Display Products will have a 90-day warranty and the Grade B items will have a 30-day warranty.
  13. You are responsible to check the Products on delivery and inform SNZTECH.COM immediately in case of any problems and have the Products returned to us within 5 business days. The Risk of Products in transit will rest with you.
  14. All Products returned to SNZTECH.COM shall be inspected for defects, and in case there are none, the Product shall be shipped back to you at your shipping expense. We will charge you suing the same payment method you used to place the Order or hold the Products until we have received the payment for shipping.
  15. Since all returned Products are at your own risk, please make sure they are insured, correctly addressed, properly packaged and sent back via a reputed carrier if you are using your shipping account for the product return.
  16. Any additional payments required for the Product Exchange/Replacement shall be charged to the payment method used while placing the order. Replacement products will not ship without full payment has been made.
  17. All refunds provided under this Contract will only be processed to the account(s) from which the Order payment was originally made.
  18. In case you wish to return any unwanted Products, SNZTECH.COM reserves the right to charge a 20% restocking fee on the product price. All such unwanted product returns most be unopened, in fully resalable condition and sent back within 5 days of the delivery date otherwise SNZTECH.COM will not accept the return.
  19. In case of defective product returns, the product will be deemed defective only if the manufacture certifies this in accordance with the End-User License Agreement (EULA), or if it can be proved that the Product License Key has not been exposed. SNZTECH.COM shall replace such defective items on confirmation of the defect by the manufacturer.

Credit Accounts Orders

  1. SNZTECH.COM may grant Credit Trade Accounts on receipt of the Credit Application at its sole discretion.
  2. Credit Account Holders will be required to pay for ordered Products by the 30th of each month following the invoice date.
  3. Non-payment on time (without prejudice to our other rights and remedies) will give us the right to suspend your account and/or cancel the Credit Account at our absolute discretion with an email notification going out to you in this regard.

Insolvency and Incapacity

  1. In case we have reason to believe that your organization is insolvent or incapable, we reserve the right to cancel/suspend any approved credit facilities and cancel/suspend all further deliveries at our sole discretion, without any prejudice to the rights and remedies available to us
  2. The above clause extends to a material breach by you of any of your obligations under this Contract
  3. The same clause will be applicable if you suspend, or threaten to suspend, payment of your arrears or are incapable to pay your arrears as they fall due or admit incapability to pay your arrears or (being a company) are deemed incapable to pay your arrears, or (being an individual) are deemed either incapable of paying your arrears or as having no practical prospect of doing so, in either case, or (being a partnership) have any partner to whom any of the foregoing apply; or you initiate negotiations with all or any class of your creditors wanting to reschedule any of your debts, or makes a proposal for or enter into any compromise/arrangement with your creditors; or (being an individual) you are the target of a bankruptcy petition/order; or one or more of your creditors or encumbrances attaches or takes possession of, or a distress, execution, sequestration or other such process is charged or imposed on or sued against, the whole or any portion of your assets and such attachment or process is not discharged within 14 days; or (being a company) a petition is filed, a notice is given, a resolution is passed, or an order is made, for or in connection with your business winding up, other than for the solitary purpose of a scheme for a solvent amalgamation with one or more other companies or your solvent reconstruction; (being a company) an application is made to court, or an order is made, for the selection of an overseer or if a notice of intent to appoint an overseer is given or if an overseer is appointed over you; or (being a company) a floating charge holder over your possessions has become enabled to appoint or has selected an administrative receiver; or a person becomes enabled to assign a receiver over your possessions or a receiver is selected over your possessions; or any event happens, or proceeding is taken, with respect to you in any authority to which it is subject that has an effect equal or comparable to any of the events mentioned above, you suspend, threaten to suspend, cease or threaten to cease to carry on all or considerably the whole of your business; or (being an individual) you pass away or, by reason of illness/incapacity (whether mental/physical), are unable to manage your own matters or become a patient under any mental health legislation.

Prices and Payment

  1. Product pricing will be as per the prices listed on our website at the time of your purchase or in Official Quotations sent to you by the SNZTECH.COM Sales Team
  2. You may be required to pay a shipping cost as indicated on the website or in the Official Quotation sent to you by the SNZTECH.COM Sales Team
  3. Payment for the Order is due to the time of ordering unless you have Credit Account with you by the SNZTECH.COM
  4. The Time of payment is of the essence to the Contract.
  5. Excluded from the Product price are tax charges and any costs related to product packaging, loading, unloading, carriage & insurance.
  6. We accept payments via Credit/Debit Card. PayPal, Cheque and BACS transfer. Products shall not be dispatched until we receive cleared funds.
  7. All payments made online on our website are processed by secure connections for your protection

Limitation of Liability

SNZTECH.COM warrants that all products you buy through our website are of satisfactory quality and fit for intended use. This does not cover any defect in the Product arising from misuse and regular wear and tear, willful damage, accident, negligence by you or a Third Party, if the Product is used in a manner not recommended by the manufacturer, failure on your part to follow the Product instructions for use, or any alterations/repairs attempted by yourself on the said Product/s without EP’s express written approval

You must accept that for all Products you buy from SNZ TECH’s website that are listed as Grade A, Grade B, ex-display or Used Stock (implying that these products might have slight cosmetic defects, be factory refurbished or may have been returned as an unwanted item by another Third Party after buying them) you will get a 90 days warranty for Grade A and Ex-Display Products and a 30 days warranty for Grade B items. The Product condition will be clearly specified on the Product page.

SNZTECH.COM’s liability for any losses you suffer due to SNZTECH.COM’s breach of Contract will be restricted to the purchase price of the Product you have purchased from EP.

SNZTECH.COM shall not be liable for any indirect or consequential loss or for any of the below mentioned types of loss, whether occurring due to tort (including neglect), breach of contract or otherwise, even if foreseeable:

  1. loss of income/revenue
  2. loss of business
  3. loss of profits/contracts
  4. loss of predicted savings
  5. loss of data/information
  6. Data Security and Protection
  7. All use of your personal data will be made as per our privacy and cookies policy, except where it has been expressly set out in these Terms.

Entire Agreement

The Terms outlined in this document stand for the complete agreement related to the use of our website, and supersede all other warranties, representations and statements, whether oral, written or sent by email. No clauses in these Terms shall impact the obligation of either party in respect of any falsification, guarantee or condition that it makes falsely. Any rights not specifically granted in these Terms are reserved by SNZTECH.COM.

Severance

Each of the clauses specified in these Terms functions separately. If any court or pertinent authority rules that any of the clauses are illegal and void, the remaining clauses shall remain in full force and effect.

Third Party Rights

This Contract is between you and SNZTECH.COM. No other person/entity shall have any rights to enforce any of the specified Terms.

Events outside our Control (Force Majeure)

SNZTECH.COM shall not be held liable for failures to perform, or delays in performance of, any of SNZTECH.COM’s responsibilities under a Contract that are caused by events outside of our reasonable control (Force Majeure Events).

A Force Majeure Event is any act, event, non-happening, omission or accident outside our practical control and includes in particular (without limitation) the below mentioned:

  1. strikes, lock-outs and other industrial actions
  2. civil commotion, riots, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat/preparation for war
  3. fires, explosions, storms, floods, earthquakes, subsidence, epidemics or other natural disasters
  4. Inability to make the use of railways, shipping, aircraft, motor transport or other means of public or private transport
  5. Inability to use public or private telecommunications networks
  6. the acts, decrees, legislation, regulations or restrictions of governments
  7. SNZTECH.COM’s performance under any Contract is considered to be deferred for the period that the Force Majeure Event continues, and SNZTECH.COM will have an extension of time for performance for the duration of this period. SNZTECH.COM will endeavor to end the Force Majeure Event or to find an alternative solution by which SNZTECH.COM’s responsibilities under the Contract may be fulfilled in spite of the Force Majeure Event.

Delivery, Shipping and Lost Items

The buyer hereby accepts and agrees that SNZTECH.COM will not be liable/responsible for lost, held, or damaged products/orders/shipments once turned over to a Common Courier, including drop shipments. The buyer also agrees that they are aware of, and had a chance to obtain insurance from the Common Courier before the Order is delivered to the Common Courier. The Buyer agrees that SNZTECH.COM will not be liable for failed deliveries or errors of the Common Courier or incorrect shipping information. The buyer agrees that shipping provided by a Common Courier is a transaction completely separate and apart from this transaction shipping issues shall in no way impact the terms and conditions of the purchase between the Purchaser and SNZTECH.COM. SNZTECH.COM warrants that it will use its best efforts and will perform its due diligence in conjunction with the buyer to locate the lost or held shipment. The buyer agrees that if they should fail to disclose an amount for shipment declaration on the Purchase Order or if they fail to meet the value of the underlying invoice issued by SNZTECH.COM, the buyer shall remain solely responsible for the timely payment of the outstanding invoice and warrants that the buyer will not hinder or interfere with full payment of the invoice in any way. The buyer agrees that any attempt to stop or interfere with timely payment for a lost or held shipment will be a material breach of contract and breach of warranty.

Notices

SNZTECH.COM will give you notice of new orders via email. This notice will be deemed to have been received and properly served 24 hours after the email has been sent. For purposes of proving the service of any notice, it will be deemed sufficient that the email was sent to the email address provided by the addressee at the time of placing the order on our website.

Right to Vary the Terms

SNZTECH.COM reserves the rights to change these Terms in line with market conditions, changes in technologies, changes in payment methods, changes in related laws and other such legal and regulatory requirements and other changes in our website and system capabilities.

You shall be subject to the Terms and Policies in force at the time you place your Order with us, unless changes to these are necessitated by law or a government authority (in which case it will apply to previous orders placed by you), or if we intimate you of changes to our Terms before we send you the Payment Confirmation email (in which case SNZTECH.COM has the right to deem that you are in agreement with the revised Terms).

Jurisdiction of these Terms

US law governs these Terms. You agree to defer to the non-exclusive jurisdiction of the courts of law of the USA.
